The model
Most useful software starts as an ordinary operational annoyance inside one company. NikaliSoft exists to take a small number of those annoyances seriously enough to build them properly, for everyone who has them.
You describe the problem
A registered EU company writes down a problem it actually lives with: what goes wrong, how it is handled today, and what it costs. No pitch deck, no idea, no concept — a working reality.
NikaliSoft may build the product
If the problem looks structural rather than local, NikaliSoft designs and develops an independent software product for it, at its own cost and own risk.
You help it reach the market
You validate that the product solves the real problem and help it reach other companies that share it. In return you receive 35% of Qualifying External Net Collected Revenue for as long as the product exists.
NikaliSoft is not a marketplace, an incubator, an accelerator, an agency, an idea contest, or a passive-income scheme. Nobody buys anything on this website and nobody invests anything.

What makes a business problem suitable
The single question behind every assessment is whether other companies would recognise the same problem in their own operations.
Strong signals
- It repeats — daily, weekly, or on every project or case.
- It is handled today by a manual workaround that everybody tolerates.
- It costs measurable time, money, accuracy, or compliance risk.
- Its cause is structural: a regulation, an industry practice, a shared kind of data or workflow.
- You can name other companies that almost certainly have it too.
Weak signals
- It is really a request for a bespoke internal tool.
- It only exists because of one company's own systems or history.
- It is an idea for an app rather than a problem being lived with.
- It is already solved well by widely available software.
- It cannot be described without confidential information.

How the 35% works
One number, defined narrowly, so that it means the same thing to everyone.

of Qualifying External Net Collected Revenue from the product built out of your submitted business problem, for as long as that product exists.
Qualifying
Revenue from the specific product that was built out of your business problem — not from NikaliSoft as a whole and not from other products.
External
Revenue from third-party customers. Amounts paid by your own company or by NikaliSoft itself are excluded.
Net
After refunds, chargebacks, credits, discounts, payment-processing fees, and taxes and duties collected on behalf of authorities.
Collected
Money actually received and kept. Invoiced-but-unpaid, disputed, or reversed amounts do not count.
The exact definition, reporting rhythm and payment mechanics live in a separate written agreement, signed offline, only if and when a product is actually built. There is no payment of any kind connected to making a submission, and nothing on this website creates an entitlement to revenue.

From business problem to independent product
Every stage can end without the next one starting. Nothing here is a promise that it will continue.
Stage 1
Submission
You describe the problem, the market reasoning, and what your company can contribute. The form takes real effort — that is deliberate.
Stage 2
Reading and assessment
NikaliSoft reads every submission and looks for one thing: evidence that many companies share this problem. Most submissions stop here.
Stage 3
Conversation
If the problem looks promising, NikaliSoft contacts you to understand it properly and to test whether the reasoning holds outside your company.
Stage 4
Written agreement
Only if NikaliSoft decides to build does a separate written agreement get negotiated and signed offline. Nothing before this point is binding on either side.
Stage 5
Development
NikaliSoft designs, builds, operates and funds the product, and carries the technical and commercial risk.
Stage 6
Validation and market access
Your company helps confirm the product genuinely solves the problem and helps it reach other companies with the same problem.
Stage 7
Ongoing revenue share
Once the product earns qualifying external net collected revenue, your 35% share is calculated and paid under the signed agreement.

What NikaliSoft does not build
Being explicit about this saves everybody time.
Custom software for one company
NikaliSoft does not act as a development agency and does not build internal tools to order. If only your company would ever use it, it is not a fit.
Products from ideas alone
A concept, a market gap, or an app idea is not a business problem. NikaliSoft works only from problems a company is currently living with.
Anything requiring confidential material
If the problem cannot be explained without trade secrets or personal data, it cannot be submitted here.
Products that already exist and work
If widely available software already solves the problem well, NikaliSoft will not build a second version of it.

Product independence
Each product is built to stand on its own, and that independence is the point.
A product created from your business problem is owned, operated and maintained by NikaliSoft. It is designed for the whole market that shares the problem, not shaped around one company's internal processes.
Submitting a problem does not give your company ownership, exclusivity, control over the product's direction, or any right to prevent competitors from using it. Your company also takes on none of the development cost or commercial risk.
This is what makes the 35% share possible: NikaliSoft can invest fully in a product precisely because that product is free to serve an entire market.
