1. Accepting these terms

These terms govern only the submission and evaluation of a business problem through this website. NikaliSoft is the trading name of {{LEGAL_COMPANY_NAME}}.

The person completing the form must explicitly accept these terms on behalf of the submitting company. The Proposal Privacy Notice checkbox is an acknowledgment that the notice has been read. It is not consent used as the legal basis for all processing.

2. Company eligibility and authority

By submitting, the submitter confirms that:

  • the company is registered in an EU member state;
  • the company information provided is accurate;
  • the submitter is authorised to act for that company;
  • the business email address given may be used for proposal-related communication.

3. The form is not a confidential channel

This public form is not confidential. Submitting does not create a non-disclosure agreement and does not create any duty of confidentiality.

Do not submit:

  • trade secrets;
  • credentials, keys or access data;
  • source code;
  • personal information about your customers or employees beyond the contact details requested;
  • documents protected by confidentiality obligations;
  • any confidential attachment.

File uploads are not accepted anywhere in the process. NikaliSoft may delete prohibited or unnecessary information without notice.

4. Ownership of submitted material

The submitting company keeps the rights it already owns in the material it submits. Submitting does not transfer ownership of the company's pre-existing intellectual property.

The company grants NikaliSoft a non-exclusive, royalty-free licence, limited strictly to:

  • receiving the proposal;
  • storing it for the stated retention period;
  • reviewing and evaluating it internally;
  • communicating about it;
  • carrying out initial non-confidential validation.

5. General ideas and similar work

  • General ideas, workflows and business problems may not be exclusive to anyone.
  • NikaliSoft may already know of, or independently evaluate, similar problems.
  • Submitting a proposal does not prevent NikaliSoft from working in a similar field.
  • No exclusivity, revenue share or ownership right exists without a final signed agreement.
  • NikaliSoft will not knowingly use protected confidential information — which is precisely why such information must never be submitted through this public form.

6. No obligation arises from a submission

Submitting a proposal does not require NikaliSoft to:

  • respond;
  • meet with the company;
  • validate the proposal;
  • sign a non-disclosure agreement;
  • accept the proposal;
  • build a product;
  • provide custom development;
  • enter into a partnership;
  • pay any compensation;
  • reserve the idea or the market.

7. No revenue right arises from a submission

The 35% revenue participation described in the Product Partnership Rules arises only through a final signed agreement and the completion of its activation conditions. A proposal reference code proves receipt of a submission and nothing more.

8. Accurate and lawful content

The submitter must not provide content that:

  • is knowingly false;
  • infringes third-party rights;
  • contains malware or harmful instructions;
  • contains unlawful material;
  • includes unnecessary personal data;
  • breaches a contractual confidentiality obligation;
  • misrepresents the submitter's authority.

NikaliSoft may reject or delete such content.

9. Manual evaluation

Evaluation is performed manually by people. No solely automated decision determines whether a proposal is accepted. Technical validation, spam protection and rate limiting are security measures, not commercial decisions.

10. Communication

NikaliSoft may contact the submitted business email about:

  • clarification of the proposal;
  • initial screening;
  • validation;
  • next steps;
  • closure of the proposal.

This does not include unrelated marketing. Marketing would require a separate lawful basis established later.

11. Availability and errors

The website may be unavailable or interrupted at any time. A submission is complete only once a reference code is displayed on screen. Please keep that reference code; it is the only identifier for your submission.

12. Liability

These terms apply between businesses. Nothing here excludes or limits liability that cannot lawfully be excluded or limited, including liability for intent, gross negligence, death or personal injury.

Subject to that, NikaliSoft is not responsible for:

  • a submitter voluntarily including prohibited confidential information despite the prominent warnings;
  • business decisions taken in the expectation that a proposal will be accepted;
  • indirect expectations of future product revenue where no final agreement exists.

Legal review required: confirm the scope and proportionality of this liability clause for B2B use in the chosen jurisdiction.

13. Governing law and courts

These terms are governed by the law of {{GOVERNING_LAW}}. The competent courts are {{COMPETENT_COURTS}}.

This document cannot become effective while those values are unresolved placeholders.
